TERMS & CONDITIONS OF SALE:

A. Order Acceptance:

Quotations:

Upon request, M. Ezzat Jallad & Fils S.A.L. reviews Customer order details, including product availability, pricing, and delivery requirements, to ensure they meet customer expectations.

M. Ezzat Jallad & FILS will prepare a quotation for the Customer in respect of any required Services or parts which will remain valid for the period stated in the quotation, which period shall not exceed 30 (thirty) calendar days, if by any means a quotation holding a local currency the stated validity will not apply.

The quotation shall set out an estimate of the fee payable for the Services & Parts and will not be binding on M. Ezzat Jallad & Fils S.A.L until accepted in terms of clause. 

Once the order is confirmed and accepted, a notification is sent to the Customer, confirming that the order has been received, approved, and will proceed to delivery.

Customer’s financial obligations:

The Customer acknowledges that it understands its financial obligations in terms of the Contract and agrees to the breakdown of these financial obligations as set out in the quotation and confirmed in the Acceptance.

The Customer warrants that it has the power and capacity and has obtained all necessary authorizations and consents to enter into, and perform its obligations under, the Contract and such other agreements and arrangements referred to in the Contract, and that it enters into the Contract voluntarily.

B. Customer’s cancellation rights:

Customers have the right to cancel their agreement or order within the timeframe specified in the terms and conditions, without incurring any penalties, provided that such cancellation falls within the cooling-off period mandated by applicable law. To exercise this right, the customer must notify the service provider or seller in writing or through any other specified means of communication, clearly stating their intent to cancel.  

Upon cancellation, the customer may be entitled to a full or partial refund depending on the nature of the goods or services and the conditions outlined in the agreement. If the goods have already been delivered, the customer may need to return them in their original condition, unless otherwise stated. Certain exceptions may apply, such as for customized items or services that have already been performed.

C. Pricing and payment:

The Customer must pay the full amount owing in terms of the Trading Account to M. Ezzat Jallad & FILS S.A.L. upon pickup or delivery in cash bank notes or transfer outside Lebanon to a specified bank account.

The Customer shall pay any amount payable by it in terms of the Quotation: 

(a) In the currency set out in the quotation, read together with the Acceptance; 

(b) Free of bank and other charges and without any deduction or set-off or withholding

(c) By way of electronic funds transfer into the bank account specified by M. Ezzat Jallad & FILS in the invoice. 

(d) If quotation amounted below $1,000, payment must be fulfilled upon delivery, cash is accepted in both local and foreign currency as for check payments must be issued in local currency equivalent to the market dollar rate as per Lebanese pound.

(e) If quotation amount exceeds $1,000, a payment must be made in advance in USD cash bank notes or transfer the amount abroad to a predefined bank account.

Despite M. Ezzat Jallad & FILS giving its approval for a particular method of payment, all risk in and to a particular means of payment shall remain with the Customer. A payment by the Customer is only considered to have been made, once the full amount of that payment is available to M. Ezzat Jallad & FILS as freely available funds in its nominated bank account.

M. Ezzat Jallad & FILS shall issue an invoice to the Customer in respect of any Acceptance before or at the time of Delivery. Such invoice will be paid by the Customer: where the Customer has a Trading Account with M. Ezzat Jallad & FILS 

Unless expressly agreed otherwise, all invoices shall be made payable in the currency set out in the invoice.

Should M. Ezzat Jallad & FILS agree to delivery in part, the deliveries will be invoiced separately and must be paid immediately.

EXCHANGE RATE FLUCTUATIONS

Where any amount payable under a Contract is based on an exchange rate, that exchange rate shall be set out in the quotation. 

The Customer agrees to bear the risk in any variation in the exchange rate of the Lebanese Pound against the applicable foreign currency in accordance with the terms set out in the quotation, from the date of quotation until the date of payment.

D. Title and risk of loss:

The Customer acknowledges that its authorized representative will be present at the handover/delivery of the Goods. To the extent that the authorized representative is not present at the handover/delivery, the Customer acknowledges that such information regarding the Goods will be given to the person collecting/receiving the Goods on its behalf, and that it is the Customer’s obligation to ensure that such information is effectively communicated to all persons as it deems fit.

Ownership of goods and the risk of loss or damage transfers to the Customer upon delivery to the carrier or, if specified, at the time of delivery to the Customer’s location.

E. Returns and refunds:

The Customer shall be entitled to return any part to M. Ezzat Jallad & Fils S.A.L within 14 (fourteen) days after the Delivery/Pick-up Date, for credit or exchange, provided that:

1. The part must be unopened in its original packaging in a resalable condition;

2. M. Ezzat Jallad & Fils S.A.L will charge a restocking fee of 15% (fifteen percent) of the price for the part to the Customer unless M. Ezzat Jallad & Fils S.A.L incorrectly supplied the part

3. No lubricants, electrical parts, specially built hoses, or dry-charged batteries filled with acid will be accepted by M. Ezzat Jallad & Fils S.A.L for returns unless incorrectly supplied by M. Ezzat Jallad & Fils S.A.L

4. The Customer will not be entitled to a credit on emergency and/or airfreight surcharges unless the part was incorrectly supplied by M. Ezzat Jallad & Fils S.A.L

5. The Customer will be liable for all transport costs unless M. Ezzat Jallad & Fils S.A.L incorrectly supplied the part

6. Notwithstanding the above, parts classified as “Non-Returnable” shall not be refundable by M. Ezzat Jallad & Fils S.A.L to the Customer.

F. Warranty:

We provide a 12-month warranty on all new parts sold, ensuring that they are free from defects in material and workmanship under normal use and service conditions. This warranty begins from the date of purchase and covers the repair or replacement of the defective part at no additional cost to the customer.  

However, the warranty does not cover damages resulting from improper use, accidents, unauthorized repairs, or modifications. Customers must retain proof of purchase to validate the warranty claim. For any issues covered under this warranty, please contact us, and our team will assist in resolving the matter promptly.

G. Dispute resolution:

Any disputes arising under the terms & conditions of sale shall first be addressed through good-faith negotiations 

between the parties to seek an amicable resolution. 

If the dispute cannot be resolved through direct discussions, it may be referred to the court in accordance with the applicable rules and laws of the courts of Lebanon, as outlined in the terms and conditions. 

The parties agree to waive any objections based on venue or inconvenient forum.

H. Choice of law:

The Terms & Conditions of Sale shall be governed by and construed in accordance with the Lebanese laws, without regard to its conflict-of-law provisions. By entering into the agreement, both parties explicitly agree that the laws of this jurisdiction will apply to any disputes, interpretations, or enforcement issues related to the contract. This choice ensures consistency and predictability in the resolution of potential conflicts.

I. Customer Portal:

The Customer Portal is provided strictly as an informational tool for our clients. The content made available through the Portal, including but not limited to financial statements, quotations, invoices, and work orders, is for reference purposes only and does not constitute official or legally binding documentation.

We do not guarantee the accuracy, completeness, or timeliness of the information displayed on the Portal. The Company shall not be held liable for any errors, inaccuracies, omissions, data leaks, unauthorized access, or reliance placed on the information contained within the Portal. Clients are responsible for verifying any information through the relevant Company departments before relying on it.

By accessing and using the Portal, the Client acknowledges and agrees that it remains the Client’s sole responsibility to verify any information directly with the relevant Company departments prior to taking any decision or action based thereon.

J. Right to Modify or Terminate Promotions

Jallad reserves the absolute right, at its sole discretion, to modify, suspend, or terminate any promotion, offer, campaign, or discount at any time without prior notice. Such actions may be taken for operational, commercial, technical, or regulatory reasons, including but not limited to suspected fraud, abuse, system errors, or unforeseen circumstances, and shall be effective immediately upon implementation.

K. Refund Policy

All requests for refunds shall be reviewed and assessed on a case-by-case basis. Approval or rejection of any refund request remains at the sole discretion of Jallad. Refund eligibility may depend on factors including, but not limited to, the nature of the transaction, timing of the request, condition of goods or services, and compliance with applicable policies.

Jallad reserves the right to refuse any refund request that does not meet its internal criteria. Any approved refund shall be processed using the original method of payment, unless otherwise determined by Jallad.

L. Amendments to Terms and Conditions

Jallad reserves the right to amend, update, or revise these Terms and Conditions, including those specifically related to any campaign or promotion, at any time and without prior notice. Any changes shall take effect immediately upon publication or implementation, unless otherwise stated. Continued participation in or use of any promotion following such changes constitutes acceptance of the revised Terms and Conditions.

M. No Liability for Changes

Jallad shall not be held liable for any for any direct, indirect, incidental, or consequential loss, damage, or inconvenience arising from the modification, suspension, or termination of any promotion, or from any changes to these Terms and Conditions.

In any event, Jallad’s total liability, if any, shall not exceed the value of the benefit received by the participant under the relevant promotion.

N. Abuse / Fraud Clause

Jallad reserves the right to disqualify any participant, cancel benefits, or recover any promotional advantage obtained through misuse, fraud, manipulation, or violation of these Terms and Conditions.

O. Force Majeure Clause

Jallad shall not be held responsible for any failure or delay in the performance of its obligations due to events beyond its reasonable control, including but not limited to acts of God, technical failures, regulatory changes, or third-party disruptions.

P. Governing Law Clause

These Terms and Conditions shall be governed by and construed in accordance with the laws of Lebanon.

Q. Campaign-Specific Promotional Terms

Q.1 General

From time to time, M. Ezzat Jallad & Fils S.A.L. (“Jallad”) may offer specific promotional campaigns through the Jallad website and Parts.cat.com (“PCC”), the Jallad eCommerce platform. Each such campaign shall be subject to these Terms and Conditions and to the campaign-specific terms set out below or otherwise communicated to customers prior to or at the time of participation in the relevant campaign (the “Campaign Terms”).

The Campaign Terms shall apply only during the campaign period expressly specified for the relevant campaign and only to eligible customers, products, orders and transactions meeting the applicable eligibility conditions. In the event of any inconsistency between these Campaign Terms and the general Terms and Conditions, the Campaign Terms shall prevail solely to the extent of such inconsistency and only for the relevant campaign.

Q.2 50% Discount on Rebuild Kit

During the campaign period specified by Jallad, eligible customers purchasing the Rebuild Kit(s) expressly designated as eligible for the campaign shall be entitled to a 50% discount on the applicable purchase price of the eligible Rebuild Kit(s).

The discount shall be applied at the invoicing stage, and the final invoice issued to the customer shall reflect the applicable 50% promotional discount.

Eligibility for the discount shall be determined by reference to the eligible product, customer and transaction requirements communicated by Jallad for the relevant campaign. The discount shall apply only to qualifying purchases made during the applicable campaign period and shall not apply retrospectively to purchases invoiced before the commencement of the campaign or after its expiry.

Unless otherwise expressly stated by Jallad, the discount shall apply only to the designated Rebuild Kit(s) and shall not apply to taxes, freight, delivery charges, surcharges or any other ancillary charges.

The promotional discount is personal to the eligible transaction, has no cash value, is not transferable and may not be exchanged for cash or any other benefit. Jallad reserves the right to reject any claim for the discount where the applicable eligibility conditions have not been satisfied or where the transaction is cancelled, reversed, refunded or otherwise invalidated.

Q.3 WASH Promotional Code – Minimum USD 300 Purchase

During the campaign period, the promotional code “WASH” may be used by eligible customers subject to a minimum qualifying purchase value of USD 300.

Eligibility for the WASH promotional code shall arise only where the value of the eligible purchase invoiced during the campaign period reaches or exceeds USD 300.

For the purposes of this campaign, the qualifying purchase value shall be calculated based on the value of the eligible products appearing on the relevant invoice, excluding taxes, freight, delivery charges, surcharges and any other ancillary charges, unless otherwise expressly stated by Jallad.

The WASH promotional code must be used in accordance with the instructions communicated by Jallad and may be subject to any additional conditions specified for the campaign. Unless otherwise expressly stated, the promotional code may be used only once per qualifying transaction/customer and may not be combined with any other promotional code, discount or offer.

If the transaction is subsequently cancelled, returned, refunded or otherwise reversed such that the qualifying purchase value falls below USD 300, Jallad reserves the right to cancel or recover the benefit associated with the WASH promotional code.

Q.4 CASH5B Promotional Code – 5% Account Credit

During the campaign period, eligible customers using the promotional code “CASH5B” shall receive an amount equivalent to 5% of the qualifying purchase value as promotional credit to their customer account with Jallad (the “Promotional Credit”).

The Promotional Credit constitutes account credit only. It does not constitute cash, a cash equivalent, a refund, a repayment or a payment owed by Jallad to the customer, and it shall not be redeemable for cash or transferred to any bank account or third party.

The Promotional Credit shall be calculated by reference to the qualifying purchase value of the relevant eligible transaction, excluding taxes, freight, delivery charges, surcharges and other ancillary charges, unless otherwise expressly stated by Jallad.

The Promotional Credit shall be credited to the eligible customer's account following confirmation and invoicing of the qualifying transaction, subject to any verification procedures applied by Jallad.

The Promotional Credit may be redeemed solely against future eligible purchases through the customer's Jallad account, subject to the terms applicable to such purchases. Unless otherwise expressly stated, the Promotional Credit:

may not be transferred, sold, assigned or exchanged for cash;

may not be combined with another account credit or promotional benefit where prohibited by the applicable campaign terms;

is available only to the customer account to which it was credited; and

may be cancelled, adjusted or recovered where the underlying transaction is cancelled, refunded, returned, reversed or determined to have resulted from fraud, misuse or a breach of these Terms and Conditions.

Any unused balance remaining after the expiry date shall automatically lapse and shall have no cash value.

Jallad reserves the right to verify eligibility and to correct any erroneous credit resulting from technical, administrative or system errors.

Q.5 Campaign Period and Eligibility

Each campaign shall be valid only during the campaign period expressly communicated by Jallad.

Jallad may impose reasonable eligibility requirements, including restrictions by customer type, account, product, quantity, geographic market or transaction, provided that such restrictions are communicated to customers in connection with the relevant campaign.

Q.6 Fraud, Abuse and Technical Errors

Jallad reserves the right to refuse, cancel, suspend or reverse any promotional benefit where it reasonably determines that the benefit has been obtained through fraud, misuse, manipulation, unauthorized use of a promotional code, circumvention of campaign conditions, duplicate accounts, system abuse or other violation of these Terms and Conditions.

Jallad shall also be entitled to correct any promotional benefit granted as a result of an obvious technical, pricing, invoicing or system error.
